Terms of Service

Agreement

These Terms of Service ("Terms") are an agreement between you and Nicholas Russell Consulting ("we," "us," or "our") for your use of the Lengualytics website and services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

If you do not agree, do not use the Service.

Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you may only use the Service with a parent or guardian's permission.

Accounts

You are responsible for your account, including keeping your login details secure and for activity that happens under your account. Provide accurate information and tell us if you think someone else is using your account.

We may suspend or close accounts that violate these Terms or that we reasonably believe are being misused.

The Service

Lengualytics helps people track language learning, find content, and (for creators) publish and import learning resources. We may change, pause, or discontinue features. We do not guarantee that the Service will always be available or error-free.

Lengualytics is a tracking and discovery tool. It does not teach a language for you and is not a substitute for your own study, professional advice, or the platforms where content actually lives (for example YouTube).

Your Content

You keep ownership of content you submit, including time-tracking entries, comments, playlists, profile information, uploaded videos, and metadata for resources you add or import.

You grant us a worldwide, non-exclusive license to host, store, display, and otherwise use that content as needed to operate and improve the Service. If you delete content or your account, we will remove it from the Service except where we must keep a copy for legal, security, or backup reasons.

You represent that you have the rights to the content you submit and that it does not violate the law or someone else's rights.

Content Removal

We do not have a duty to review, monitor, or police content on the Service. We may remove, disable, or restrict any content at any time, including if we believe it may infringe someone's rights or violate these Terms.

If we actually learn that content on the Service is unauthorized or infringing, we will take it down promptly — as soon as we reasonably can. Our aim is to do that immediately. We are not responsible for that content, and we are not liable because it was available before we knew about it.

If you believe content on the Service infringes your copyright, email us using the contact information at the end of these Terms. We will treat that as notice and remove the content promptly.

Indemnity

You will defend, indemnify, and hold us harmless from claims, damages, losses, and costs (including reasonable attorneys' fees) that arise from your content, your use of the Service, or your violation of these Terms, including claims that content you uploaded or imported infringes someone else's rights.

Creators and YouTube

If you use creator features, you may upload videos hosted by us, add public videos by URL, and connect a YouTube channel to import your own videos. You are responsible for the content you publish on Lengualytics and for having the right to use it here.

Videos you import from YouTube remain on YouTube. We store the metadata needed to show them in the Service (such as title, description, duration, and privacy). Visibility on Lengualytics may differ from YouTube (for example, an unlisted YouTube video may be treated as members-only here).

Connecting YouTube is optional. It is not required to use learner features or to be a creator who only uploads Lengualytics-hosted video.

YouTube API Services

Lengualytics uses YouTube API Services, including to look up public video and channel information and, if you connect a channel, to list and import your videos.

YouTube and Google may change, limit, or revoke access to YouTube API Services. We may change or discontinue Connect YouTube and related import features at any time. We are not liable if those features stop working because of Google, YouTube, or a change we make.

By using YouTube features on Lengualytics, you also agree to the YouTube Terms of Service and the Google Privacy Policy.

Acceptable Use

You agree not to:

• Break the law or infringe other people's rights
• Upload or import content you do not have the right to use
• Harass, impersonate, or spam other users
• Attempt to disrupt, scrape in an abusive way, reverse engineer, or gain unauthorized access to the Service
• Use the Service to send malware or unsolicited commercial messages
• Misrepresent your identity or your relationship to a YouTube channel or other account

Paid Features

Some features may require a paid subscription or one-time payment. Prices and what you get are shown at the time of purchase. We may change prices or paid features with reasonable notice.

Except where the law requires otherwise, fees are non-refundable. If you have a billing problem, contact us using the information at the end of these Terms.

Our Intellectual Property

The Service, including the Lengualytics name, branding, software, and our original content, is owned by us or our licensors. These Terms do not give you ownership of that material. You may not copy or reuse it except as needed to use the Service.

Third-Party Services

The Service uses third parties such as Clerk (sign-in), Vercel (hosting), PostHog (analytics), YouTube / Google, and Iframely (link metadata). Those services have their own terms and privacy policies. We are not responsible for third-party sites or players you open from the Service, including YouTube.

Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that content in the library is accurate, appropriate for you, or always available.

Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the claim or (b) one hundred U.S. dollars (US $100).

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or if we stop offering the Service. Provisions that should reasonably survive (including ownership, content removal, indemnity, disclaimers, and limitation of liability) will survive termination.

Changes to These Terms

We may update these Terms from time to time. We will post the new Terms on this page and update the "Last Updated" date. If you continue to use the Service after the changes take effect, you agree to the updated Terms.

Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law rules. If a dispute cannot be resolved informally, the courts of the United States will have exclusive jurisdiction, except where applicable law requires otherwise.

Severability

If a court finds any part of these Terms unenforceable, the rest still applies. These Terms are the entire agreement between you and us about the Service.
